1. Acceptance of Terms

These Terms of Use (“Terms”) apply when you visit our website, book a meeting, submit an inquiry, purchase or pay for services, or otherwise interact with Core Group Company LLC (“Core Group Company,” “we,” “us,” or “our”). By doing any of these things, you agree to these Terms. If you do not agree, please do not use our services.

2. Services

Core Group Company provides technology consulting services. These include Odoo ERP implementation, configuration, support, troubleshooting and training; third-party cloud hosting infrastructure management; custom development; and process automation and process improvement. Paid services are governed by a separate engagement agreement, statement of work, proposal or invoice. If those documents conflict with these Terms, the engagement documents control.

3. Scheduling & Appointments

When you book a meeting through our scheduling page, you agree to:

• Provide accurate contact information;
• Attend the scheduled meeting, or cancel or reschedule with reasonable notice; and
• Use the meeting to discuss your business and technology needs.

We may cancel or reschedule an appointment with reasonable notice.

4. Fees, Billing & Payments

Fees for our services are set out in your engagement agreement, statement of work, proposal or invoice. We use Stripe, Inc., a third-party payment processor, to process payments. You can pay by credit card, debit card or ACH bank transfer. By submitting payment information, you authorize Core Group Company, through Stripe, to charge the amounts due, including:

• Prepaid support hours, which are billed in advance when you purchase them;
• Recurring third-party cloud hosting management services, which are billed automatically each month in advance until you cancel; and
• Scheduled installment payments under any financing or payment plan you have agreed to in writing, which may be collected by automatic ACH debit.

Core Group Company does not store your full card or bank account numbers. Your use of Stripe is also subject to the Stripe Services Agreement and Stripe Privacy Policy.

Unless your engagement documents state otherwise, invoices are due Net 15 from the invoice date. Fees do not include applicable taxes, which you are responsible for paying. Third-party cloud hosting providers consumption charges are passed through at cost on your invoice. If a payment fails or a balance is past due, we may pause services until your account is brought current. Past-due balances may incur a late fee of 4% per month.

5. Refunds & Cancellations

Prepaid support hours. Prepaid support hours are non-refundable and expire 12 months after purchase. Hours are deducted in 15-minute increments. We will provide a record of hours used upon request.

Recurring third-party cloud hosting provider management. You can cancel recurring third-party cloud hosting provider management services by giving 30 days’ written notice to ad***@**************ny.com. Cancellation takes effect at the end of the current billing period. We do not refund fees already paid for that period. Cancelling our management service does not cancel your underlying third-party cloud hosting provider subscription or its charges.

Implementation deposits. Deposits for implementation projects are non-refundable once work has begun.

Financing and payment plans. Your promissory note or payment agreement governs any financing or payment plan. Cancelling services does not cancel amounts you owe under that agreement.

Billing errors. If you believe you were billed in error, contact us within 30 days of the charge. We will review it and correct any valid error.

6. Billing Disputes

If you have a concern about a charge, please contact us at ad***@**************ny.com before you start a dispute or chargeback with your bank or card issuer, so we can resolve it promptly.

7. SMS Communications

When you book a meeting, you consent to receive appointment reminder text messages from Core Group Company. Messages are limited to scheduling communications, typically 1–3 messages per booking. Message and data rates may apply, and you are responsible for any charges from your carrier. Reply STOP to opt out at any time. After you reply STOP, you will receive one confirmation message and no further texts. Reply HELP for assistance.

8. User Conduct

You agree not to:

• • Provide false or misleading information;
  • Use our services for any unlawful purpose;
  • Harass, abuse or threaten our staff; or
  • Interfere with our systems or communications.

9. Intellectual Property

All materials, documentation and methodologies we provide, including those shared during consultations, remain the property of Core Group Company unless your engagement agreement says otherwise. You may not reproduce or distribute them, or create derivative works from them, without our prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law, Core Group Company is not liable for any indirect, incidental, special or consequential damages arising from your use of our services. Our total liability for any claim is limited to the amount you paid for the specific service that gave rise to the claim.

11. Changes to Terms

We may update these Terms from time to time. When we do, we will post the changes on this page with a new effective date. If you continue to use our services after the changes are posted, you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law rules. Any dispute arising from these Terms or our services will be resolved in the state or federal courts located in Denver County, Colorado

13. Privacy

Our Privacy Policy explains how we collect, use and share your information, including payment information.
